Terms of Service (v1)

1. Who we are

AGIdock is owned and operated by TIMY LLC, a limited liability company organized under the laws of the State of California, United States, at 15090 Kensington Park Dr #430-145, Tustin, CA 92782 ("AGIdock", "we"). These terms govern use of the AGIdock API, dashboard, and services. General contact: hello@agidock.cloud.

2. The service

AGIdock provides virtual machines, block storage, public IPv4 addresses, and an outbound email relay, exactly as described in the documentation. Deliberate product limits stated in the docs (fixed root disks, stock images only, single region, no platform firewall beyond anti-spoof) are part of the service definition, not defects.

3. Accounts and security

• One account per legal person, who must be 18 or older and able to enter into a contract; you are responsible for actions taken with your credentials, including by automated agents you operate.
• Keep your authenticator secret and your API keys confidential; report suspected compromise immediately.
• You must be able to receive email at your account address; it is the channel for legal and operational notices.

4. Payment: prepaid credits

• All service is prepaid. 1 credit = 1 USD; prices per meter are published at /pricing.html and change only with at least 30 days' notice via future-dated price book entries.
• Credits are consumed by metered usage. At zero balance, mutating API access is suspended; after 7 days, VMs are stopped; after 30 further days, resources may be deleted. We never extend credit; you never owe us.
• Granted (promotional) credits have no cash value, expire with the account, and do not unlock email sending.
• Refunds. Purchased credits you have not consumed are refundable on request to hello@agidock.cloud, returned through Stripe to the payment method that bought them. Consumed credits are not refundable, and granted credits are not refundable in any form. Deleting your account does not by itself return a balance — ask. Any stronger right California law gives you survives this paragraph.

5. Acceptable use

Use is governed by the Acceptable Use Policy, which is part of these terms. Enforcement actions (freezing email, suspending accounts, blocking traffic) follow the AUP.

6. Service levels

Our targets: API 99.9%, VM availability 99.5%, email relay 99.9%, measured monthly. Hours where we cannot confirm your VM ran are not billed.

A month that misses one of those targets is compensated in credits, as a percentage of what you spent on the affected service in that month:

• below the target but at or above 99.0%: 10%
• at or above 95.0% but below 99.0%: 25%
• below 95.0%: 50%

Ask through a support ticket within 30 days of the end of the month. The compensation is credits added to your balance, never cash, and it is the exclusive remedy for availability.

7. Your data

• Your VM contents, volumes, and transmitted mail are yours. We access them only as needed to operate the service, on your instruction, or as the AUP and law require.
• Data handling details are in the Privacy Policy.
• Backups are your responsibility; the docs say so plainly and repeatedly.

8. Termination

• You can delete your account at any time (DELETE /v1/account, 14-day grace period during which deletion can be cancelled).
• We may suspend or terminate for AUP violation, non-payment beyond the lifecycle above, or legal necessity. Where lawful and practical, we give notice and a chance to export data first.

9. Warranties and liability

Beyond the service levels in section 6 and what these terms say in as many words, the service is provided as is and as available, without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted or that your data will be preserved. Backups are yours.

To the extent permitted by California and US federal law: our aggregate liability is capped at the greater of the credits you purchased in the preceding 12 months or US$100; we are not liable for indirect or consequential damages; and a claim must be brought within one year of what it is about. Nothing here limits liability that cannot lawfully be limited.

10. Indemnity

You cover us — costs, damages and reasonable legal fees — against third-party claims arising from what you run here, the content you store or send through us, and your breach of these terms or the AUP. We will tell you about such a claim promptly and leave you in control of the defence, and we will not agree to a settlement that binds you without asking.

11. Sanctions and export control

You are not located in, ordinarily resident in, or acting for anyone in a country or on a list subject to US sanctions, and you will not use the service in breach of US export-control or sanctions law. We are a US company: this one is not ours to waive, and a violation ends the account immediately.

12. Changes and law

• Material changes ship as a new version with at least 30 days' email notice; continued use after the effective date is acceptance. Old versions stay archived under their version URL.
• Governing law: the laws of the State of California, without regard to its conflict-of-laws rules. Venue: the state and federal courts located in California.

13. Miscellaneous

• Notices to you go to your account email; notices to us go to hello@agidock.cloud.
• Force majeure: neither side is liable for delay or failure caused by events beyond its reasonable control, and such events do not count against the service levels in section 6.
• Assignment: we may assign these terms to a successor of the business; you may not assign without our consent.
• Severability and waiver: if one clause is unenforceable the rest stands, and not enforcing something once is not giving it up.
• Entire agreement: these terms, the AUP and the privacy policy are the whole of the agreement about the service.
